By accessing the Site, you agree to these Terms and to our Privacy Policy, which is incorporated by reference; if you do not agree, do not use the Site. We may update these Terms by posting a revised version and updating the “Last Updated” date above, and your continued use of the Site constitutes acceptance of the revised Terms. The Site is intended for users who are at least 18 years old.

These Terms govern the Site only. Access to and use of medem’s platform and subscription services (the “Services”) are governed exclusively by the written agreements between medem and its customers, including the applicable Order Form, Terms of Service, and Business Associate Agreement, which control over these Terms with respect to the Services.

2. No Medical Advice

The Site and its content are for general informational purposes only. Nothing on the Site constitutes medical advice, diagnosis, or treatment, or a substitute for the judgment of licensed healthcare professionals, and nothing on the Site constitutes legal, financial, or other professional advice. The Site is not intended for use in medical emergencies.

3. Intellectual Property and Limited License

The Site and all of its content, features, and functionality including software, text, designs, graphics, logos, and trademarks are owned by or licensed to medem and protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, revocable, non-transferable license to access and view the Site for your own informational and business-evaluation purposes. You may not copy, republish, distribute, or create derivative works from the Site’s content, or use our trademarks, without our prior written permission. All rights not expressly granted are reserved.

4. Acceptable Use

You may use the Site only for lawful purposes. You will not: use bots, scrapers, or other automated means to harvest data from the Site without our written permission; attempt to reverse engineer, decompile, or derive source code from the Site; circumvent security features or gain unauthorized access to our systems; introduce viruses or other malicious code; use the Site in a way that disables, overburdens, or impairs it or interferes with anyone else’s use; or provide false or misleading information to us. 6. Limitation of Liability

To the fullest extent permitted by law, medem and it’s directors, employees, and agents will not be liable for any indirect incidental, consequential, special exemplary, or punitive damages arising out of or relating to your use of, or inability to use, The Site, and our total aggregate liability for any claim arising out of or relating to the site or the terms will not exceed one hundred U.S. Dollars (U.S. $100). This section does not limit any liability that cannot be limited under applicable law, and does not apply to the services, which are governed by the applicable customer agreements.

7. Governing Law and Dispute

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Wilmington, Delaware, on an individual basis only, except that either party may seek injunctive relief in court to protect its intellectual property. Disputes relating to the Services are governed by the applicable customer agreement.

8. General Contact

These Terms and our Privacy Policy constitute the entire agreement between you and medem regarding the Site. Our failure to enforce any provision is not a waiver, and if any provision is found unenforceable, the remainder remains in effect. You may not assign these Terms without our written consent; we may assign them without restriction.
